TERMS

These terms apply to all proposals, agreements and work by Empireyo (Chamber of Commerce 61433780), based in Zwolle. Arrangements in a proposal or agreement that deviate from these terms take precedence.

Proposals and price

Proposals are valid for thirty days and based on the information you have provided. We work with a fixed project price agreed upfront; what it covers is set out in the proposal. Work outside that scope is additional work, which we only carry out after your approval, on terms agreed in advance.

Execution and cooperation

We carry out assignments carefully and to the best of our craft. A schedule is a best-efforts commitment: it also depends on the timely delivery of copy, images, access and feedback from your side. If delivery slips, the schedule shifts accordingly, and we are upfront about that.

Payment

Unless agreed otherwise, we invoice in instalments: a part on assignment, a part on delivery. The payment term is fourteen days. If payment is not made, we may suspend the work after notifying you; launch and handover take place after full payment.

Intellectual property

After full payment you receive the right to use the delivered design and code for the purpose for which they were made. Generic components, knowledge and methods developed by us remain Empireyo’s. We may show delivered work in our portfolio, unless we agree otherwise in writing.

Third-party services

Hosting, domain names and third-party software are governed by those parties’ terms. We advise and configure, but are not liable for outages or changes at those suppliers. Maintenance and further development are arranged separately in a maintenance agreement.

Liability

Our liability is limited to the amount invoiced for the assignment (or the relevant part of it). We are not liable for indirect damage, such as lost revenue or loss of data, except in cases of intent or deliberate recklessness. You indemnify us against third-party claims concerning material you have supplied.

Force majeure and confidentiality

In cases of force majeure, obligations are postponed without giving rise to damages. Both parties treat information shared in confidence as confidential, including after the collaboration ends.

Law and disputes

Dutch law applies to all agreements. We first put disputes to each other; if we cannot resolve them, the District Court of Overijssel has jurisdiction.
